Maureen Wareham

Corporate Secretary and Corporate Ethics Officer, Hydro One Inc.

Maureen Wareham is Corporate Secretary and Corporate Ethics Officer of Hydro One Inc., an electricity transmission and distribution company which owns and operates one of North America's largest electricity transmission grids and serves approximately 1.3 million rural and urban customers through its distribution businesses.

Ms. Wareham was appointed Corporate Secretary on December 13, 2007, having served as the company's acting Corporate Secretary since December 8, 2006. As Corporate Secretary, she is responsible for the oversight and management of the operations of the Board of Directors, its Committees, and those of Hydro One Inc.'s various subsidiaries and advising the Board and senior management on corporate governance law. Ms. Wareham is also the company's Corporate Ethics Officer and is responsible for all advisory and reporting functions associated with the Code of Business Conduct. Ms. Wareham Chairs Hydro One's Community Citizenship Committee which oversees the company's sponsorships and donations programs. Her previous positions with Hydro One include: Director, Corporate Secretariat and Corporate Ethics Officer, and Senior Legal Counsel, Law Divison, Hydro One Networks Inc., where she practiced corporate and commercial law. Ms. Wareham joined Ontario Hydro in 1997 after having practiced corporate commercial law in Toronto for several years.

Ms. Wareham holds a Bachelor of Arts Degree from the University of Toronto (1984) in philosophy and a Bachelor of Laws Degree from the University of Western Ontario (1987). She was called to the Ontario Bar in 1989 and is a member of the Law Society of Upper Canada. Ms. Wareham is also a member of the Conference Board of Canada's - Corporate Ethics Management Council.
